1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of SparkReach CRM, operated by Sparklink Intel ("we," "us," or "our"). By creating an account, accessing the platform at app.sparkreachcrm.com, or using any SparkReach CRM service, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are using SparkReach CRM on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. In that case, "you" refers to the organisation.
If you do not agree with any part of these Terms, you must discontinue use of SparkReach CRM immediately.
Age Requirement
You must be at least 16 years of age to use SparkReach CRM. By using the platform you confirm you meet this requirement.
2. Description of Service
SparkReach CRM is a cloud-based email outreach and customer relationship management platform. The service allows users to:
- Connect and manage multiple Gmail inboxes
- Build and manage contact lists and pipelines
- Create and schedule email campaigns and outreach sequences
- Automate follow-up workflows based on recipient behaviour
- Track campaign analytics including open rates, click rates, and replies
- Collaborate with team members within an organisation workspace
We reserve the right to modify, suspend, or discontinue any part of the service at any time, with notice to affected users where reasonably practicable. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.
3. User Accounts
To use SparkReach CRM you must create an account with a valid email address and password. You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the security and confidentiality of your password
- All activity that occurs under your account
- Notifying us immediately of any unauthorised use of your account
You may not share your login credentials with others or allow multiple individuals to use the same account. Each user within an organisation must have their own account under your organisation's subscription.
We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, are involved in spam or abuse, or are otherwise in violation of these Terms.
4. Acceptable Use Policy
SparkReach CRM is designed for legitimate business outreach and relationship management. You agree to use the platform only for lawful purposes and in compliance with all applicable laws and regulations.
You Must Not
- Send spam — do not send unsolicited bulk email, use purchased or scraped lists, or send emails that recipients have not consented to receive.
- Violate anti-spam laws — all emails sent through SparkReach CRM must comply with the CAN-SPAM Act (USA), CASL (Canada), GDPR (EU/UK), and any other applicable email marketing regulations in your jurisdiction.
- Engage in illegal activities — do not use SparkReach CRM for fraud, phishing, impersonation, or any activity that violates local, national, or international law.
- Harass or harm others — do not send threatening, abusive, defamatory, or discriminatory content.
- Abuse the infrastructure — do not attempt to overwhelm servers, reverse-engineer the platform, or circumvent rate limits or security measures.
- Violate third-party rights — do not infringe intellectual property rights, privacy rights, or other rights of any person or entity.
CAN-SPAM Compliance Requirements
For each email campaign sent via SparkReach CRM you must:
- Use an accurate, non-deceptive subject line and sender identity
- Include a working physical mailing address
- Provide a clear and functional unsubscribe mechanism
- Honour unsubscribe requests within 10 business days
GDPR Compliance
If you are sending emails to individuals in the European Union or UK, you must have a lawful basis for processing their personal data (such as legitimate interest or explicit consent) and must comply with all applicable GDPR obligations. You act as the data controller for your contact lists; SparkReach CRM acts as a data processor on your behalf.
Violation Consequences
Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund. We may also report illegal activity to relevant law enforcement authorities.
5. Gmail Integration
SparkReach CRM integrates with Gmail via Google's official OAuth 2.0 API. By connecting a Gmail account to SparkReach CRM, you acknowledge and agree that:
Your Responsibility
- You are solely responsible for all emails sent from your connected Gmail account through SparkReach CRM.
- You must comply with Google's Terms of Service and Gmail's Programme Policies at all times.
- You must not use the Gmail integration to send spam or any content that violates Google's policies.
- You are responsible for maintaining the security of your Google account credentials.
Our Role
SparkReach CRM accesses your Gmail account only to perform the specific functions you request — sending emails, syncing inbox threads, and displaying conversations. We do not use your Gmail data for any purpose beyond delivering the SparkReach CRM features you use.
Revoking Access
You may disconnect your Gmail account from SparkReach CRM at any time via your account settings. Disconnecting Gmail will immediately stop all email sync and sending for that account. You may also revoke access from your Google Account security settings at myaccount.google.com/permissions.
Gmail API Services User Data Policy
SparkReach CRM's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
6. Payment Terms
Subscription Billing
Paid plans (Starter, Standard, Professional) are billed on a recurring basis — either monthly or annually depending on the billing cycle you select at signup. All prices are displayed in US Dollars (USD). Subscriptions renew automatically at the end of each billing period unless cancelled.
Payments are processed securely by Stripe. By subscribing you authorise us to charge your payment method on a recurring basis until you cancel.
Free Plan
A free plan is available with limited features (500 emails/month, 1 Gmail connection). Free accounts inactive for 14 consecutive days may be automatically deactivated. No payment information is required for the free plan.
Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase via email before the change takes effect on your account. If you do not cancel before the new price takes effect, your continued use constitutes acceptance of the new pricing.
Refund Policy
All subscription fees are non-refundable except where required by applicable law. If you cancel mid-period, your subscription will remain active until the end of the current paid period and will not renew thereafter. We do not provide partial-period refunds.
If you believe you were charged in error, contact us at crm@sparkreachcrm.com within 14 days of the charge. We will investigate and, where appropriate, issue a credit or refund at our discretion.
Cancellation Policy
You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of your current billing period. After cancellation your account will revert to the free plan (with free-plan limits applied) or be deactivated, depending on your usage.
Failed Payments
If a payment fails, we will attempt to collect payment again over a period of several days. If the payment continues to fail, your account may be downgraded or suspended until payment is received. We will notify you by email about payment failures.
Enterprise Plans
Enterprise plan pricing is negotiated individually. Contact sales@sparkreachcrm.com for Enterprise pricing, custom contracts, and volume discounts.
7. Intellectual Property
All content, software, technology, trademarks, trade names, and logos associated with SparkReach CRM are the exclusive property of Sparklink Intel or its licensors and are protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use SparkReach CRM solely for your internal business purposes in accordance with these Terms. This licence does not include the right to:
- Reproduce, distribute, or create derivative works of SparkReach CRM
- Reverse-engineer, decompile, or disassemble any part of the platform
- Remove or alter any proprietary notices or labels
- Resell or sublicence access to SparkReach CRM
Your Content
You retain full ownership of all data you upload to SparkReach CRM — including contacts, email templates, campaign content, and any other materials ("Your Content"). By using SparkReach CRM you grant us a limited licence to store, process, and display Your Content solely to provide the service to you. We do not claim ownership of Your Content.
8. Limitation of Liability
SparkReach CRM is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by law, Sparklink Intel disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Sparklink Intel, its directors, employees, or agents be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from your use of, or inability to use, SparkReach CRM
- Damages resulting from unauthorised access to or alteration of your data
Our total liability to you for any claims arising out of or related to these Terms or SparkReach CRM shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD $100.
Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Termination
Termination by You
You may terminate your SparkReach CRM account at any time by cancelling your subscription and requesting account deletion via crm@sparkreachcrm.com. Upon deletion, your data will be removed within 30 days as described in our Privacy Policy.
Termination by Us
We may suspend or terminate your account immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent or illegal activity, or your use poses a risk to other users or the security of the platform.
Upon termination for cause, no refund will be issued for any unused portion of a prepaid subscription period.
Effect of Termination
Upon termination, your right to access SparkReach CRM ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law sections) shall survive.
10. Governing Law
These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction where Sparklink Intel is registered, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or SparkReach CRM shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration or in the courts of competent jurisdiction in our home jurisdiction, and you consent to the personal jurisdiction of such courts.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within SparkReach CRM at least 14 days before the changes take effect. Your continued use of SparkReach CRM after the effective date constitutes acceptance of the updated Terms.
11. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sparklink Intel regarding SparkReach CRM and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
